Lendlease Americas Inc. v. Thor Parent Holdings, LLC, et al., C.A. No. 2022-0854-JTL (Del. Ch. Sept. 23, 2022), Order

Landis Rath & Cobb LLP successfully represented plaintiff Lendlease Americas Inc. in obtaining a temporary restraining order enjoining the contemplated sale of a telecommunications tower business from an entity owned by Apollo Global Management, Inc. to an entity owned by Palistar Capital LP.  Absent the TRO, the sale, believed to be valued in the billions of dollars, would have jeopardized Lendlease’s valuable contractual consent rights under a membership interest purchase agreement.  The Court of Chancery granted the TRO ex parte the day after Lendlease initiated the action.  A description of the action can be found at https://www.law360.com/articles/1533424/del-court-pauses-cell-tower-co-sale-after-investor-sues
