Landis Rath & Cobb LLP’s corporate and commercial litigation practice handles the full range of business disputes including matters related to corporate governance, breach of fiduciary duties, financing transactions, ownership, control and management of Delaware corporations, partnerships and limited liability companies and the application of the Delaware entity statutes, the General Corporation Law, Limited Liability Company Act and Revised Uniform Limited Partnership Act. The firm regularly represents significant shareholders, investors, corporations, trustees, directors, partnerships, and limited liability companies in the Delaware Court of Chancery as well as the federal and other state courts of Delaware. Our attorneys are proficient both in negotiating advantageous, practical business solutions for our clients and in litigating aggressively when necessary. Most important, we have the experience to advise when either approach, or a combination of them, is required. Achieving success begins with a mutual understanding of the desired result, so we work closely with each client to establish clear goals and a comprehensive plan of action. Ever mindful that goals and strategies can change, and that time and cost constraints can impact any plan, we maintain open and regular communications to ensure that matters continue to move in the agreed upon direction for the most successful results.
Intellectual Property Litigation. Our focused practice includes intellectual property litigation that draws on the experience and capabilities of attorneys in the firm. The firm’s practice in this area is centered on serving as Delaware counsel in legally and technically complex patent litigation pending in the District of Delaware. This venue is the premier jurisdiction for many of the nation’s substantial patent and other intellectual property disputes, and as such is one of the busiest jurisdictions for this specialized litigation in the United States. Our attorneys have participated in bench trials and jury trials before each of the District Court judges, and mediations and other pretrial proceedings before the Magistrate Judges. We are well known to the District Court judiciary and staff, and are familiar with the role of Delaware counsel that often requires flexibility to meet the constantly changing demands in high-stakes, complex litigation. Our attorneys advise and guide lead counsel regarding local rules and practice, and substantively on critical aspects of the intellectual property litigation process including motions, discovery, trial and post-trial briefing, and appeals.
