Landis Rath & Cobb LLP successfully obtained dismissal of certain claims

Landis Rath & Cobb LLP successfully obtained dismissal of certain claims brought by member Osios LLC against defendants Tiptree, Inc. and Tiptree Marine LLC arising from the Tiptree Marine LLC agreement.  The Delaware Court of Chancery by letter opinion issued June 12, 2024 dismissed claims against Tiptree, Inc. for breach of contract, breach of fiduciary duty and tortious interference. The Court also dismissed a claim against Tiptree Marine LLC for unjust enrichment, and further dismissed claims for breach of the implied covenant of good faith and fair dealing against both Defendants.  The Court is only permitting limited claims for breach of contract and unjust enrichment to proceed. The case is styled as Osios LLC (f/k/a Andover LLC) v. Tiptree, Inc., et al., C.A. No. 2023-0589-NAC (Del. Ch.).
